The Heritage Key Properties assigned all its interest in the land to the 2<sup>nd</sup> Plaintiff in 2005. 2<sup>nd</sup> Plaintiff also went ahead to assign its interest in the land to the 1<sup>st</sup> Defendant. There was an arrangement plan with regards to the payment. <o:p></o:p></span></p><p class="MsoNormal" style="text-align:justify;line-height:115%"><span lang="EN-GB" style="font-size:12.0pt;line-height:115%;font-family:"Book Antiqua","serif"; mso-fareast-font-family:Arial;mso-bidi-font-family:Arial">The 1<sup>st</sup> Defendant however failed to make full payment as agreed. Eventually, it assigned portions of the land to the 2<sup>nd</sup> Defendant and also surrendered about 12 Acres of the land to the 2<sup>nd</sup> Plaintiff. When the 2<sup>nd</sup> Plaintiff went to the Lands Commission to register the Deed of Surrender, it was informed that the 1<sup>st</sup> Defendant had mortgaged the entire land to the 3<sup>rd</sup> Defendant. The 2<sup>nd</sup> Plaintiff was not allowed by the Lands Commission to register the Deed of Surrender, due to the mortgage registered in the name of the 3<sup>rd</sup> Defendant. <o:p></o:p></span></p><p class="MsoNormal" style="text-align:justify;line-height:115%"><span lang="EN-GB" style="font-size:12.0pt;line-height:115%;font-family:"Book Antiqua","serif"; mso-fareast-font-family:Arial;mso-bidi-font-family:Arial">Plaintiffs commenced this action mainly because the 1<sup>st</sup> Defendant failed to seek their written consent and approval before mortgaging the land, contrary to the express terms of the covenants stipulated in the head lease. Meanwhile, the 2<sup>nd</sup> Plaintiff had contracted with the Cocoa Marketing Board in respect of the surrendered land to the tune of GH</span><span lang="EN-GB" style="font-size: 12.0pt;line-height:115%;font-family:"Times New Roman","serif";mso-fareast-font-family: Arial">₵</span><span lang="EN-GB" style="font-size:12.0pt;line-height:115%; font-family:"Book Antiqua","serif";mso-fareast-font-family:Arial;mso-bidi-font-family: Arial">170,000.00, but when it noticed that a mortgage had been executed in favour of the 3<sup>rd</sup> Defendant, the said contract fell through. <o:p></o:p></span></p><p class="MsoNormal" style="text-align:justify;line-height:115%"><span lang="EN-GB" style="font-size:12.0pt;line-height:115%;font-family:"Book Antiqua","serif"; mso-fareast-font-family:Arial;mso-bidi-font-family:Arial">On 28th March 2013, the plaintiffs commenced the present action against the defendants.
