Attached to the application is a supporting affidavit and a statement of case. The application is opposed by the respondents as shown by their affidavit in opposition and their statement of case.<o:p></o:p></span></p><p class="MsoNormal" style="text-align:justify"><span style="font-size:12.0pt; line-height:115%;font-family:"Book Antiqua","serif";mso-bidi-font-family:Arial">The court has read the affidavits and the exhibits as well as the statement of cases filed by the parties. The court finds that in the share charge agreements and the debentures the parties agreed that the courts of Ghana shall have jurisdiction to settle any disputes or proceedings which may arise in connection with the agreement and that any judgment or order of the Ghanaian court of competent jurisdiction in connection with the agreements shall be conclusive and binding on the parties.<o:p></o:p></span></p><p class="MsoNormal" style="margin-bottom:0in;margin-bottom:.0001pt;text-align: justify"><span style="font-size:12.0pt;line-height:115%;font-family:"Book Antiqua","serif"; mso-bidi-font-family:Arial">It has been argued on behalf of the respondents that the jurisdiction given or agreed upon in the agreements is not exclusive and that the respondents reserve the right to institute actions in other forums. That may well be so but to the extent that the parties have also contracted that the agreements shall be governed and construed in accordance with the laws of Ghana, this court is of the opinion that no court in any jurisdiction is better placed to construe and apply the laws of the Republic of Ghana than a Ghanaian court of competent jurisdiction.
